1. General Provisions

1.1. This public offer for the making of a charitable donation (hereinafter referred to as the "Offer"), in accordance with Article 641 of the Civil Code of Ukraine, constitutes a proposal by BORYVITER MILITARY SCHOOL, Identification code 44689508, legal address: Kyiv, 01054, Ukraine, Bohdana Khmelnytskoho street, 59B(Б), f. 1 (hereinafter referred to as the "Organization"), to an unspecified circle of legally competent individuals and legal entities under private law who voluntarily engage in charitable activities (hereinafter each such person is referred to as a "Donor"), to enter into an charitable donation agreement (hereinafter referred to as the "Agreement") on the terms set forth in this Offer.

1.1.1. The Donor and the Organization are also collectively referred to as the "Parties" and individually as a "Party".

1.1.2. This Offer is posted on the Organization's website on the Internet at the following link: https://boryviter.org.ua/en/ (hereinafter referred to as the "Website").

1.2. The subject matter of the Agreement is the gratuitous and voluntary transfer of funds by the Donor into the ownership of the Organization by making a charitable donation to support the statutory activities of the Organization. The transfer of funds by the Donor under this Agreement is recognized as a charitable donation pursuant to Article 6 of the Law of Ukraine "On Charity Work and Charity Organizations".

1.2.1. The subject matter of this Agreement does not involve obtaining direct or indirect profit by either Party to the Agreement.

1.3. The Organization may enter into agreements on the provision of a charitable donation under a different procedure and/or on different terms than those provided for in this Offer. The Donor may contact the Organization separately to conclude such an agreement.

1.4. This Offer is provided in English for information purposes only. In the event of any discrepancies or inconsistencies between the Ukrainian and English versions of this Offer, the Ukrainian version shall prevail.

2. Terms and Procedure for Making a Charitable Donation

2.1. "Acceptance" means the full and unconditional acceptance of this Offer by performing actions to execute a wire transfer using payment forms and means available on the Website, or by transferring funds to the Organization’s settlement account (the details of which are posted on the Website) via banking institutions.

2.1.1. The moment of Acceptance is the date of the wire transfer and/or the crediting of funds to the Organization's bank settlement account.

2.1.2. Acceptance of the Offer signifies that the Donor agrees with all provisions of this Offer and the Agreement.

2.1.3. Guided by Articles 639–642 of the Civil Code of Ukraine, the Donor and the Organization agree that from the moment of Acceptance, the Agreement is deemed concluded. The Parties agree that non-compliance with the written form of the transaction does not invalidate it.

2.2. The charitable donation is voluntary and non-refundable to the Donor, except in cases explicitly provided for by the effective legislation of Ukraine and this Offer. The Donor independently determines the amount of the charitable donation (assistance).

2.3. The Organization independently determines the allocation of the charitable donation within the scope of its statutory activities. By making a charitable donation under this Offer and Agreement, the Donor consents to a change in the purposes and procedure for using their charitable donation, including its reallocation or use in other projects (including, but not limited to, cases where funds were collected as part of a public fundraising drive that became irrelevant and/or failed to reach the target amount).

2.4. Methods of providing charitable assistance (donation):

• one-time payment;
• regular monthly or weekly payments in an arbitrary amount.

3. Rights and Obligations of the Parties

3.1. The Organization undertakes to use the Donor's charitable donation funds in accordance with the legislation of Ukraine and strictly within the scope of its statutory activities.

3.2. The Organization reserves the right to independently determine the allocation of the charitable donation in line with its statutory activities and the legislation of Ukraine.

3.3. The Donor has the right to receive information regarding the use of their charitable donation. Upon the Donor's written request, the Organization shall provide documentary confirmation of the targeted use of the donation.

3.3.1. In the event of the Organization's refusal to provide documentary confirmation of the targeted use of the charitable assistance (donation) after its expenditure, the Donor has the right to demand a refund of the donation paid under this Offer by submitting a written request to the Organization stating the bank account details where the refund should be remitted.

3.3.2. In the event of an inability to provide documentary confirmation of the targeted use of the charitable assistance (donation) after its expenditure, the Organization (including in response to the written request specified in sub-paragraph 3.3.1 of the Offer) shall refund the received charitable donation to the bank details specified in the respective request within 10 (ten) business days from the date of receipt of such demand.

3.4. By making a charitable donation, the Donor unconditionally confirms:

• their legal capacity;
• the voluntary nature of entering into this transaction;
• that the subject of the charitable donation is not subject to any ban, attachment, or pledge, is not encumbered by any other third-party rights, and was not acquired in violation of the Law of Ukraine "On Prevention and Counteraction to Legalisation (Laundering) of Criminal Proceeds, Terrorist Financing and Financing of Proliferation of Weapons of Mass Destruction".

3.4.1. In the event of reasonable doubts regarding the guarantees specified in clause 3.4 of the Offer, the Organization has the right to request, and the Donor undertakes to provide, documentary evidence confirming these guarantees.

4. Confidentiality

4.1. The Organization processes the Donor's personal data provided during visits to the Website and/or when performing a wire transfer (hereinafter referred to as "personal data") for the purpose of proper implementation of the Agreement and within the framework of the Organization's statutory activities.

5. Miscellaneous Provisions

5.1. The provisions of the effective legislation of Ukraine shall apply to the relations between the Donor and the Organization.

5.2. In the event of disputes arising between the Parties, they shall be resolved through negotiations. If a dispute cannot be resolved through negotiations, it shall be considered by the courts under the procedure established by the effective legislation of Ukraine.

5.3. This Offer enters into force from the moment it is posted on the Organization's Website on the Internet at the following link:https://boryviter.org.ua/en/privacy-policy/.

5.3.1. This Offer is open-ended and may be amended or revoked by the Organization at any time (prior to its acceptance by the Donor) by posting relevant information on the Website.
